Content Agreement

PLEASE READ THE FOLLOWING CONTENT LICENSE AGREEMENT (“AGREEMENT”) WHICH GOVERNS YOUR RIGHT TO USE THE CASEY LIFE SKILLS TOOLKIT. YOU MUST ACCEPT THESE TERMS BEFORE YOU ARE ALLOWED TO DOWNLOAD THE TOOLKIT. YOU EXPRESSLY AGREE THAT YOU HAVE THE AUTHORITY TO CONTRACTUALLY BIND THE ORGANIZATION AGREEING TO THESE TERMS.

Background of Agreement

(a) Casey Family Programs (“Casey” or “Owner”) solely owns all right, title, and interest including copyrights and other intellectual property rights (the “Copyrights”) in and to the Casey Life Skills tools and curriculum, which includes the materials identified in the attached Exhibit A (“Content”).

(b) In this Agreement “you” and “your” mean and refer to the organization that is agreeing to these terms and will be using the Content pursuant to the limited license granted herein.

Grant of License

Owner hereby grants you a non-exclusive, non-transferable, limited, non-commercial, royalty-free, worldwide license—without the right to sublicense—to use, copy, reprint, distribute, display, and upload the Content for the exclusive end purpose of administering the Casey Life Skills assessment to assist youth and their families. These rights include the right to make such modifications as are technically necessary to exercise the rights in other media and formats (such as through integration with a case management or child welfare information system), but otherwise you have no rights to modify the Content or make derivative works. You acknowledge that Casey is the sole and exclusive owner of the Content and that you will do nothing inconsistent with such ownership. You agree that nothing in this license will give you any right, title, or interest in the Content other than the right to use the same in accordance with this license.

Sharing and Attribution

If you share the Content other than for purposes of administering the assessment to an individual, you must identify and/or provide attribution to Casey Family Programs as the owner of the Content. If you share or distribute the content digitally, you must do so only by providing a URL or hyperlink to the Content on casey.org.

Notwithstanding this attribution requirement, your right to share Content (in any form) is subject to the restrictions under the Grant of License section above.

Disclaimer

THE CONTENT IS PROVIDED AS IS WITHOUT ANY WARRANTY OF ANY KIND. OWNER DOES NOT REPRESENT OR WARRANT THAT THE CONTENT IS ACCURATE, ERROR-FREE, OR THAT IT WILL MEET YOUR REQUIREMENTS. YOU AGREE TO INDEMNIFY, DEFEND, HOLD HARMLESS AND RELEASE OWNER FROM AND AGAINST ANY CLAIMS, LIABILITIES OR DAMAGES RELATED TO YOUR USE OF THE CONTENT.

Termination

This Agreement is effective until terminated. You can terminate this Agreement by destroying the Content, along with any copies or archives of it or accompanying materials (if applicable), and ceasing to use the Content for any purpose. Casey may terminate this Agreement if at any time you fail to comply with any of its terms. Upon notice of termination, you must immediately (i) cease using the Content for any purpose; (ii) destroy or delete all copies and archives of the Content or accompanying materials; and (iii) if requested, confirm to Casey in writing that you have complied with these requirements.

Notwithstanding any other provision in this Agreement (including the Termination paragraph), Casey reserves the right to , at any time and for any reason, (i) revoke or amend the license granted by this Agreement and/or (ii) replace the Content with an alternative. Upon notice of such replacement sent to the address or contact information provided by you in connection with downloading the Content, or such other address as you may advise us in writing to use, the license for the replaced Content immediately terminates, and this license automatically applies to the replacement Content. You agree not to use the replaced Content for future products and to take all reasonable steps to discontinue use of the replaced Content in products that already exist.

This license may be altered or amended only by an instrument in writing signed by Owner.

Acknowledgement

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND UNDERSTAND IT. IN CONSIDERATION OF CASEY AGREEING TO PROVIDE THE CONTENT, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND CASEY, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND CASEY RELATING TO THE SUBJECT OF THIS AGREEMENT.
